Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Numiri Inc. ("Numiri," "we," "us," or "our") governing your access to and use of the Numiri website located at www.numiri.co, including any subdomains, mobile applications, and related services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. If you do not agree to these Terms, you must not access or use our Services.

Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding contract
  • You are not prohibited from using our Services under applicable law
  • All information you provide is accurate, current, and complete

If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Registration

Creating an Account

To access certain features of our Services, you must register for an account by providing:

  • Your full name
  • A valid email address
  • A secure password
  • Your birth information (full birth name as it appears on your birth certificate, date of birth)

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to maintain account security. You must not:

  • Share your account credentials with others
  • Allow others to access your account
  • Create multiple accounts to circumvent our policies
  • Use another person's account without permission

Services Description

Numerology Reports

Numiri provides AI-powered numerology analysis and reports based on Pythagorean and Vedic numerology systems. Our Services include:

  • Core number calculations (Life Path, Expression, Soul Urge, Personality, etc.)
  • Comprehensive personalized reports covering various life aspects
  • Compatibility analyses and relationship insights
  • Forecasting and cycle predictions
  • Geo-numerology and location-based insights
  • Access to 42+ different report types

Credits System

Our Services operate on a credit-based system:

  • Each report generation requires one (1) credit
  • Credits are purchased in packages and do not expire
  • Credits are non-refundable once purchased
  • Credits are tied to your account and non-transferable
  • We reserve the right to adjust credit pricing with notice

Nature of Services

You acknowledge and agree that:

  • Our Services provide entertainment, self-reflection, and personal insight
  • Numerology reports are interpretive and based on ancient systems combined with AI analysis
  • Reports should not be considered professional advice (medical, legal, financial, psychological, or otherwise)
  • Results are for informational and educational purposes only
  • We make no guarantees about the accuracy, completeness, or applicability of any report

Purchases and Payments

Pricing

Current pricing for credit packages is displayed on our website. We reserve the right to modify pricing at any time, but changes will not affect credits already purchased.

Payment Processing

  • All payments are processed securely through Stripe
  • You authorize us to charge your payment method for all purchases
  • You must provide current, complete, and accurate billing information
  • Prices are in U.S. dollars unless otherwise stated

Taxes

You are responsible for any applicable sales, use, value-added, or other taxes associated with your purchase.

Refund Policy

All sales are final. We do not offer refunds for purchased credits except:

  • In cases of technical failure preventing report generation (we will issue replacement credits)
  • As required by applicable law
  • At our sole discretion in exceptional circumstances

If you experience technical issues, contact support@numiri.co within 48 hours of the issue occurring.

Partner Program

Partnership Agreement

Partners who join our whitelabel program agree to additional terms:

  • Pay a monthly platform fee of $25
  • Receive 75% revenue share on all sales through their branded platform
  • Accept 25% revenue share retained by Numiri for platform operation
  • Maintain their own customer relationships and provide customer support
  • Comply with all applicable laws regarding their business operations

Partner Responsibilities

Partners must:

  • Provide accurate business and tax information
  • Set credit pricing at or above the minimum of $1.34 per credit
  • Handle customer inquiries and support for their platform users
  • Comply with payment processing requirements through Stripe Connect
  • Not misrepresent the Services or make unauthorized claims
  • Maintain appropriate branding that doesn't infringe on others' intellectual property

Revenue Distribution

  • Revenue splits are processed automatically through Stripe Connect
  • Partners receive payouts according to Stripe's payout schedule
  • We provide real-time revenue tracking through the partner dashboard
  • Partners are responsible for their own tax reporting and compliance

Termination of Partnership

Either party may terminate the partnership relationship at any time with written notice. Upon termination:

  • Access to the partner platform will be suspended
  • Outstanding revenue shares will be paid out according to normal schedule
  • Partners must cease using Numiri branding and technology
  • Customer data handling will be addressed according to our Privacy Policy

Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to:

  • Text, graphics, logos, images, and software
  • Report templates, algorithms, and methodologies
  • AI models and analysis systems
  • Trademarks, service marks, and trade dress

are owned by Numiri Inc. or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Your License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use our Services for personal, non-commercial purposes
  • Generate and download reports for your personal use
  • Share reports you generate as permitted by these Terms

You may not:

  • Copy, modify, distribute, sell, or lease any part of our Services
  • Reverse engineer, decompile, or attempt to extract source code
  • Remove or modify any copyright, trademark, or proprietary notices
  • Create derivative works based on our Services
  • Use automated systems to access or scrape our Services
  • Frame or mirror any part of our Services without written permission

Your Content

When you provide information to generate reports ("User Content"), you retain ownership but grant us:

  • A worldwide, non-exclusive, royalty-free license to use, store, and process your User Content
  • The right to use your User Content to provide, improve, and develop our Services
  • The right to create anonymized, aggregated data for analytics and research

You represent and warrant that:

  • You own or have rights to all User Content you provide
  • Your User Content does not violate any third-party rights
  • Your User Content is accurate to the best of your knowledge

Acceptable Use Policy

You agree not to use our Services to:

Prohibited Activities

  • Violate any applicable laws or regulations
  • Infringe on intellectual property or other rights of others
  • Transmit harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our Services or servers
  • Harvest or collect information about other users
  • Use our Services for any illegal or unauthorized purpose
  • Impersonate any person or entity
  • Engage in fraudulent activities or transactions
  • Abuse, harass, threaten, or intimidate others

Content Restrictions

You may not submit content that:

  • Is false, misleading, or deceptive
  • Is defamatory, obscene, or offensive
  • Promotes illegal activities or violence
  • Violates privacy rights or contains personal information of others without consent

We reserve the right to investigate violations and take appropriate action, including account suspension or termination, and cooperation with law enforcement.

Disclaimers and Limitations

Services Provided "As Is"

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of accuracy, reliability, or completeness
  • Warranties of non-infringement or title
  • Warranties regarding uninterrupted or error-free operation

No Professional Advice

OUR SERVICES DO NOT CONSTITUTE AND SHOULD NOT BE RELIED UPON AS:

  • Medical, psychological, or mental health advice
  • Legal or financial advice
  • Professional counseling or therapeutic services
  • Predictions or guarantees about future events

Always consult qualified professionals for advice regarding important life decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMIRI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Business interruption or loss of opportunities
  • Damages arising from reliance on information provided through our Services
  • Any damages exceeding the amount you paid to us in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Numiri and its officers, directors, employees, agents, affiliates, and partners from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of our Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content or any content you submit
  • Your breach of any representations or warranties

Third-Party Services

Our Services may integrate with or contain links to third-party services, including:

  • Stripe for payment processing
  • Third-party analytics services
  • Partner whitelabel platforms
  • External websites or resources

We are not responsible for:

  • The availability, accuracy, or content of third-party services
  • Privacy practices of third-party services
  • Any damages or losses arising from your use of third-party services

Your use of third-party services is governed by their respective terms and privacy policies.

Modifications to Services

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of our Services at any time
  • Change features, functionality, or available reports
  • Update our algorithms and analysis methods
  • Impose limits on certain features or restrict access to parts of the Services

We will make reasonable efforts to notify you of material changes, but we are not liable for any modifications, suspension, or discontinuation of Services.

Modifications to Terms

We may revise these Terms at any time by:

  • Posting updated Terms on our website with a new "Last Updated" date
  • Sending email notification to your account email address
  • Displaying a notice when you log in to your account

Material changes will be effective 30 days after posting or notification, whichever is earlier. Your continued use of our Services after changes take effect constitutes acceptance of the revised Terms.

If you do not agree to modified Terms, you must stop using our Services and may close your account.

Term and Termination

Term

These Terms remain in effect while you use our Services.

Termination by You

You may terminate your account at any time by:

  • Contacting us at help@numiri.co
  • Using account deletion features in your account settings

Upon termination, you will lose access to any remaining credits (no refunds provided).

Termination by Us

We may suspend or terminate your account immediately, without notice, if:

  • You breach these Terms or our policies
  • We suspect fraudulent or illegal activity
  • We discontinue Services generally
  • Required by law or legal process

Effect of Termination

Upon termination:

  • Your right to access our Services ends immediately
  • Remaining credits are forfeited without refund
  • Sections that by their nature should survive termination will survive (including intellectual property, disclaimers, limitations, and indemnification)

We may retain certain information as required by law or legitimate business purposes as described in our Privacy Policy.

Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of Nebraska, United States, without regard to conflict of law principles.

Informal Resolution

Before filing a claim, you agree to contact us at help@numiri.co to attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

Arbitration Agreement

If informal resolution fails, you agree that any dispute arising from these Terms or our Services will be resolved through binding arbitration rather than in court, except:

  • Small claims court actions
  • Intellectual property disputes
  • Claims for injunctive relief

Arbitration will be conducted in Lancaster County, Nebraska under its rules. The arbitrator's decision is final and binding. Each party bears their own costs.

Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of any class, collective, or representative action. Class arbitrations and class actions are not permitted.

Venue

If arbitration does not apply, you consent to exclusive jurisdiction in the state and federal courts located in Lancaster County, Nebraska.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Numiri regarding our Services and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, pandemic, natural disasters, or internet/telecommunications failures.

Notice

Notices to you may be made via email, postal mail, or posting on our Services. You must send notices to us at help@numiri.co.

Export Controls

You agree to comply with all applicable export and import laws and regulations.
